ESL Pals Terms of Use

Subscriptions: Your subscription automatically renews at the end of each billing period unless you cancel it. You can cancel your subscription at any time through your account. Subscription payments and renewals are non-refundable, except where required by law.

Using materials: ESL Pals materials are provided for your own teaching use. You may download, print and use materials with your own students, but you must not share, resell, redistribute or upload ESL Pals materials elsewhere. Answer sheets may be shared with your own students where appropriate.

Sharing accounts: Your subscription is personal to you and must not be shared with other users. If you need access for additional teachers, please contact us about a school or team subscription.

Downloading materials: You may download materials you reasonably need for your teaching and lesson preparation. Downloading large amounts of the library primarily for storage or future use is not permitted. Please see our Fair Use Policy for more information about downloads and fair use.

Using ESL Pals online: Your subscription also includes unlimited access to Teach Online, E-lessons and interactive tests, so you can use ESL Pals directly from the website without downloading materials.

ESL Pals is the trading name of EP Language Services Ltd, a company registered in England and Wales.

These Terms apply whenever you access or use ESL Pals, including our website, lesson materials, online teaching tools and other services we provide.

You must provide accurate information when creating an account and keep your login details secure.

Your account is personal to you and must not be sold, transferred or shared with another person.

If you are signing up on behalf of a school or organisation, you confirm that you have permission to do so.

You are responsible for activity carried out through your account.

If you believe someone else has accessed your account, please contact us as soon as possible.

Some ESL Pals features and materials require a paid subscription.

When you purchase a subscription, you agree to pay the price shown at the time of purchase.

Subscriptions automatically renew at the end of each subscription period unless you cancel before the renewal date.

You can cancel your subscription at any time. Cancellation will normally stop the next renewal, while your existing access will continue until the end of the period you have already paid for.

Payments are generally non-refundable, except where a refund is required by applicable law.

Prices may change from time to time. Where a price change affects an existing subscription, we will provide any notice required by law.

Payments may be processed by third-party payment providers such as Stripe or PayPal. Their own terms and privacy policies may also apply to payment processing.

ESL Pals provides lesson plans, worksheets, slides, activities, tests, E-lessons and other educational materials.

Subject to these Terms and your subscription, we grant you a limited, non-exclusive, non-transferable licence to access and use these materials for your own teaching.

You may:

• Access and use the materials included with your subscription.
• Download and print materials for your teaching.
• Use the materials with your own students.
• Make reasonable classroom adaptations to the materials.
• Share appropriate answer sheets or answers with your own students where necessary for teaching.

You must not:

• Sell or resell ESL Pals materials.
• Share lesson materials with other teachers who do not have appropriate access.
• Upload our materials to another website, platform, database or file-sharing service.
• Redistribute our materials outside your own teaching.
• Use our materials to create or operate a competing lesson-plan or teaching-materials service.
• Systematically copy or reproduce a substantial part of the ESL Pals library.
• Remove copyright, branding or other ownership information where doing so would infringe our rights.

Your subscription does not transfer ownership of any ESL Pals materials to you.

Downloads are provided to support normal teaching and lesson preparation.

You may download materials you reasonably need for your teaching.

However, you must not download large amounts of the ESL Pals library primarily for storage, future use or to create a separate offline collection.

There is no single number of downloads that automatically determines whether use is fair or unfair. We may consider the overall pattern of activity and whether it is consistent with normal teaching use.

We may use download limits and other technical measures to help protect the ESL Pals library from bulk or excessive downloading.

Automated or systematic downloading, including the use of scripts or other tools to download materials at scale, is not permitted.

If you have an unusual teaching situation or unreliable internet connection that means you need to download more materials than usual, please contact us. We are happy to discuss it.

You do not need to download materials to use ESL Pals.

Depending on your subscription, you can use our online teaching features, including:

• Teach Online
• E-lessons
• Interactive tests

These features are provided to make it easier to teach directly from ESL Pals without downloading large numbers of files.

Your ESL Pals subscription is intended to give you access to materials for your own teaching.

You must not share your account or login details with other teachers.

You must not distribute ESL Pals lesson materials to other teachers, schools, organisations or third parties unless we have given you permission to do so.

You must not upload, publish, sell, licence, rent, distribute or otherwise make our materials available outside your own teaching.

If you are a school or organisation that needs access for multiple teachers, please contact us about an appropriate subscription.

All ESL Pals materials, including lesson plans, worksheets, slides, activities, tests, E-lessons, text, graphics, designs, logos and other content, are owned by or licensed to EP Language Services Ltd.

Our materials are protected by applicable intellectual property laws.

Nothing in these Terms gives you ownership of ESL Pals intellectual property.

You may only use our materials in the ways permitted by these Terms or with our written permission.

You must use ESL Pals lawfully and responsibly.

You must not:

• Use ESL Pals for an unlawful purpose.
• Attempt to gain unauthorised access to another account or part of our systems.
• Circumvent or bypass technical restrictions or download limits.
• Use automated tools to access or download materials at scale.
• Scrape, systematically copy or reproduce substantial amounts of our content.
• Interfere with the security or operation of ESL Pals.
• Introduce malicious software or harmful code.
• Attempt to reverse engineer or interfere with the operation of our services except where permitted by law.
• Use ESL Pals in a way that infringes our intellectual property or the rights of others.

We may monitor activity on ESL Pals to help protect our website, services, materials and users.

This may include monitoring account activity, download activity and unusual patterns of use.

We may use automated systems and manual review to identify activity that may breach these Terms or our policies.

An automated flag does not necessarily mean that you have breached these Terms. We may consider the wider circumstances and pattern of activity before taking action.

We may restrict, suspend or terminate an account if we reasonably believe that:

• These Terms have been breached.
• The account is being shared or transferred without permission.
• Materials are being redistributed or used outside the permitted licence.
• There is repeated or significant bulk downloading.
• Download restrictions or other security measures are being bypassed.
• The service is being used in a way that could harm ESL Pals, our users or our materials.

Where appropriate, we may give you an opportunity to resolve the issue before taking further action.

If your account is suspended or terminated because of a serious or repeated breach of these Terms, you may lose access to your subscription and materials. Refunds will generally not be provided in these circumstances, except where required by law.

If you believe your account has been restricted or suspended by mistake, please contact us at [email protected] and we will review the situation.

We may update or change ESL Pals from time to time, including adding, removing or changing features, materials or functionality.

We may also update these Terms when necessary, for example to reflect changes to our services, legal requirements or the way ESL Pals operates.

If we make a significant change to these Terms that affects your rights or obligations, we will provide notice where required by law.

The latest version of these Terms will always be available on our website.

ESL Pals may use third-party services to provide certain features, including payment processing, hosting, analytics or other functionality.

Those services may have their own terms and privacy policies.

We are not responsible for third-party services that are outside our control.

ESL Pals may contain links to websites or services operated by third parties.

These links are provided for convenience. We do not control those websites and are not responsible for their content, security or policies.

We aim to keep ESL Pals available, accurate and up to date, but we cannot guarantee that the website or all features will always be available or free from errors.

We may occasionally need to carry out maintenance, updates or changes to the service.

To the fullest extent permitted by law, ESL Pals is provided without warranties or guarantees that cannot legally be excluded.

Nothing in these Terms affects any rights you have under applicable consumer protection law.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

To the fullest extent permitted by law, we are not responsible for losses that are not reasonably foreseeable or that arise from your misuse of ESL Pals or your failure to follow these Terms.

If you are using ESL Pals as a consumer, nothing in these Terms affects your statutory rights.

We collect and use personal information in accordance with our Privacy Policy.

Our Privacy Policy explains what information we collect, why we collect it, how we use it and the rights you may have in relation to your personal information.

These Terms are governed by the laws of England and Wales.

If you are a consumer, you may also have rights to bring a claim under the laws of the country in which you live where applicable.
